Corporate & Commercial
Incorporations, shareholder agreements, commercial contracts, regulatory compliance and cross-border transactions for businesses operating in and out of Sri Lanka.
How we work
Our corporate team advises founders, family businesses and multinational groups on the full life-cycle of a company — from incorporation and shareholder arrangements to financing rounds, joint ventures and exits.
We draft and negotiate the commercial agreements a business runs on: supply and distribution contracts, licensing, service agreements and terms of trade. Where a matter crosses borders, we coordinate with correspondent firms so our clients receive one coherent piece of advice.
Sound familiar?
- You are incorporating a company and need shareholder and director arrangements set up correctly from day one.
- A key commercial contract is up for renewal and the counterparty has proposed terms you are unsure about.
- You are raising investment and need due-diligence preparation and transaction documents.
- A regulator has raised a compliance query and you need a measured, timely response.

Questions we hear often
Before you ask —
Can you work on fixed fees?
Yes. Incorporations, standard commercial contracts and many advisory matters are quoted as fixed fees before we begin.
Do you advise foreign investors?
Regularly. We advise on exchange-control rules, BOI structures and land-ownership restrictions that apply to foreign shareholders.
How quickly can you review a contract?
A standard commercial agreement is usually turned around within three working days; urgent reviews can be expedited.
